AS FURTHER DETAILED IN THE “ARBITRATION” SECTION OF THE SKYBOUND TERMS AND CONDITIONS, UNLESS YOU ARE A UK RESIDENT, THESE INSIDER REWARDS TERMS REQUIRE YOU TO ARBITRATE ANY DISPUTES YOU HAVE WITH US ON AN INDIVIDUAL BASIS ONLY, AND BY PARTICIPATING IN THE PROGRAM AND ENTERING INTO THESE INSIDER REWARDS TERMS, YOU WAIVE THE ABILITY TO BRING CLAIMS AGAINST US IN ANY COURT, TO HAVE ANY DISPUTE HEARD BY A JUDGE OR JURY, OR TO BRING ANY CLAIMS AGAINST US IN A CLASS ACTION FORMAT (INCLUDING AS A CLASS REPRESENTATIVE OR MEMBER OF ANY PUTATIVE CLASS). PLEASE REVIEW THE “ARBITRATION” SECTION OF THE SKYBOUND TERMS AND CONDITIONS FOR DETAILS.
These Skybound Insider Loyalty Rewards Program Terms (“Insider Rewards Terms”) govern your use of the Skybound Insider Loyalty Program, including those certain websites and applications that implement the Program as well as those of our websites, applications, emails and other communications that link to or reference these Insider Rewards Terms (collectively, the “Program”). When we say “you” or “your”, “Skybound Insider”, or “User”, we mean you. When we say “our”, “us”, “we” or “Skybound” in these Insider Rewards Terms, we mean Skybound, LLC and its affiliates and subsidiaries. These Insider Rewards Terms are subject to, and shall also include, the Skybound.com Terms and Conditions, which are incorporated by reference and to which you agree to be bound. These Insider Rewards Terms incorporate by reference all of the terms and conditions set forth in our Skybound.com Terms and Conditions, including, without limitation, the arbitration clause and class action waiver provisions set forth therein, for full details on arbitration and class action waiver provisions that apply to this Program. Capitalized terms herein that are undefined shall have their meaning as specifically set forth in the Skybound.com Terms and Conditions. If any term in the Skybound.com Terms and Conditions conflicts with or contradicts the Insider Rewards Terms then these Insider Rewards Terms govern with respect to the Program and elements thereof only. In particular we draw your attention to the limitations and exclusions of our liability set out in the Skybound.com Terms and Conditions. PLEASE READ THESE REWARDS TERMS CAREFULLY BEFORE PARTICIPATING IN THE PROGRAM.
NOTHING IN THESE TERMS IS INTENDED TO AFFECT YOUR RIGHTS UNDER THE LAW IN YOUR USUAL PLACE OF RESIDENCE. IF THERE IS A CONFLICT BETWEEN THOSE RIGHTS AND THESE TERMS, YOUR RIGHTS UNDER APPLICABLE LOCAL LAW WILL PREVAIL. Nothing in this Section shall deprive any UK resident of the benefit of the mandatory laws of their home country or the right to bring and defend claims in their home courts.
CHANGES TO INSIDER REWARDS TERMS
We reserve the right, at our sole discretion, to modify, add to, or replace the Insider Rewards Terms, in whole or in part, at any time, except that if we do so we’ll use reasonable efforts to notify you of any material change by posting them to this page and by email to the address then associated with your Program account. The updated Insider Rewards Terms will be effective as of the time of our posting or as we otherwise explicitly explain when we notify you of changes. It is your responsibility to check this page regularly for any changes to the Insider Rewards Terms. Your continued use of the Program after you receive notification of any change(s) to these Insider Rewards Terms (including notification by posting) constitutes your acknowledgement of those changes and your agreement to be bound by the updated version of the Insider Rewards Terms.
OVERVIEW OF THE PROGRAM
As set forth below, the Program is a customer-rewards program open to all eligible Skybound.com Account (defined below) holders who meet all the eligibility requirements described below. Users who choose to participate in the Program via one of the registration mechanisms described below are referred to in these Insider Rewards Terms as “Skybound Insiders”. Skybound Insiders will be able to earn Rewards Points (defined below) with each Qualifying Activity (defined below) set forth in the Program. Insiders may then convert their Rewards Points into Rewards.
PROGRAM PARTICIPATION & ELIGIBILITY
Eligibility; Restrictions. Membership in, and use of, the Program is limited to persons who are legal residents of Canada (excluding Quebec), all fifty (50) United States, and the District of Columbia or the United Kingdom (England, Scotland, Wales and Northern Ireland only) (collectively, the “Territory”), who are at least the age of majority or older in your jurisdiction of residence and who have a valid email address on file. Employees, officers, directors, agents and representatives of Skybound and its affiliates are not eligible to participate in the Program. In addition, the Program is solely for each Skybound Insider’s personal, non-commercial use, so corporations, groups, and associations are not eligible. You must have a valid Skybound Insider account on Skybound.com (“Skybound.com Account”) in order to participate in the Program. You must maintain a valid email address and promptly update your Skybound.com Account with any changes to your email address or other contact information. If it is determined at any time, at Skybound’s sole discretion, that you do not meet the eligibility criteria, your Skybound.com Account will immediately be terminated and all Rewards Points and/or Rewards will be forfeited. The Program is void where prohibited by law. Do not participate in the Program if it is not legal to do so in your jurisdiction. Skybound may limit the number of Program participants and may temporarily or permanently discontinue registering new participants at any time and for any reason without notice to you.
Registration. To become a Skybound Insider, you must complete the registration process by providing Skybound with current, complete and accurate information, as more specifically required by the then-current registration procedures on Skybound.com. Skybound may refuse to accept any application to register as a Skybound Insider, in its sole discretion. You must maintain and update your registration data from time to time, to ensure that it is always current, complete and accurate.
Marketing Messages. Skybound may, in its sole discretion, sort Skybound Insiders into different marketing-message groups such that not all Skybound Insiders receive the same marketing messages. You may opt-out of receiving marketing messages from Skybound at any time by reaching out to Skybound Customer Support at help.skybound.com, by logging into your Program account and editing your Email Preferences, or by clicking Unsubscribe at the bottom of marketing messages. Doing so will not affect your ability to participate in the Program. Skybound will only send marketing emails to UK residents where it has prior consent or another lawful basis to do so.
Transferability. Membership in the Program, any Rewards Points earned, any Rewards and any other related membership benefits are not transferable and may not be combined or merged with any other Skybound Insider’s account or with any other Skybound or Skybound affiliate loyalty program.
Unauthorized Activity and Access. You are solely responsible for keeping your login credentials, email address and password confidential and for all activities that occur on your Skybound.com Account and Program account. Skybound is entitled to act on instructions it receives if correct login credentials are provided, and in that case Skybound will not be liable for: (i) any Rewards Points, credits, debits, or Rewards redemptions made in connection with your Program account, or (ii) any loss or damage arising from your failure to adequately safeguard your login credentials. You agree to immediately notify Skybound of any unauthorized use of your login credentials or Program account or any other breach of security related to the Program.
EARNING REWARDS POINTS THROUGH QUALIFYING ACTIVITIES;
The Program includes two elements: Rewards Points and Rewards. “Rewards Points” are defined, collectively, as the following three (3) categories of points:
- “Season Rewards Points”: the total number of Rewards Points accumulated by a Skybound Insider during each season, which are anticipated to last for 12 months each (i.e., a calendar year) (each, a “Season”). The Beta Season (“Season 0”) will run from July 19, 2023 through December 31, 2023.
- “Lifetime Rewards Points”: the total number of Rewards Points accumulated by a Skybound Insider during the lifetime of the Skybound Insider’s participation in the Program.
- “Fan Level Points”: points accumulated through the completion of various Qualifying Activities (defined below) that are then used to calculate the applicable Membership Level (defined below).
Earning Rewards Points. Rewards Points will be earned for performing the qualifying activities designated by Skybound as part of the Program (such as, for example: by registering for the Program; by engaging in certain specified activities such as visiting or watching videos; by engaging in certain specified activities related to social networks; by attending an AMA event on Discord, etc.) (each a “Qualifying Activity”). Rewards Points will appear in your Program shortly following completion of a Qualifying Activity, except in exceptional cases where they might not be available for technical reasons, such as server downtime. Skybound may offer Rewards Points for engaging in a Qualifying Activity under one set of rules for one promotion, and may opt not to offer Rewards Points for engaging in that same activity under a subsequent or previous promotion. You acknowledge and agree that: (i) Skybound’s ability to accurately credit Rewards Points to your Skybound.com Account based on your activities at third party sites, apps, locations, et al. (e.g., social networking sites) may be restricted by such third party’s terms, conditions or functions; (ii) Rewards Points are not valid unless earned in strict compliance with the requirements set forth by Skybound, and you will not attempt to earn Rewards Points by any means (including, without limitation, by using any script, bot or other automated means) that only simulates compliance with the applicable requirements; and (iii) Skybound’s good-faith determination of the amount of Rewards Points available to any Skybound Insider hereunder will be final and binding.
Any Rewards Points you earn are solely for your: (i) use towards the earning of Rewards and/or (ii) attaining a Membership Level (defined below), in accordance with these Insider Rewards Terms. You have no property, proprietary, intellectual property, ownership, or monetary interest in your Rewards Points. Rewards Points do not have any monetary or cash value and they may not be redeemed with us or any third party for cash or any cash equivalent, except under the Program.
Expiration of Season Rewards Points. Unless otherwise specified, all Season Rewards Points will expire at the end of each Season. Your Membership Level will stay active twelve (12) months following the end of the previous Season in which you participated.
Special Promotions. Skybound may from time to time conduct special promotions that include one or more offers for individual or specific Skybound Insiders to earn Rewards Points through the completion of certain Qualifying Activities, or may offer all Skybound Insiders a one-time opportunity to earn special promotional Rewards Points (“Promotional Rewards Points”). The terms and conditions of any such promotion, including a description of the conduct required, the number of Promotional Rewards Points available and the expiration date of the corresponding Promotional Rewards Points, will be communicated to eligible Skybound Insider(s) by email or in another communication from Skybound. If no special expiration date is provided in the description or terms and conditions of the offer for Promotional Rewards Points, the Promotional Rewards Points will expire as set forth in the “Expiration of Season Rewards Points” Section above as if they were Season Rewards Points.
Rewards are subject to change, availability, and other terms and conditions as may be communicated from time to time on the Rewards page, prior to and/or upon redemption.
Other exclusions and restrictions may apply in connection with specific Qualifying Activities and/or Rewards and will be communicated with any Rewards-specific offer.
FAN LEVEL POINTS AND MEMBERSHIP LEVELS
The number of Fan Level Points accrued per Season (i.e., January 1 – December 31) is used to determine your level of membership in the Program (“Membership Level”). There are four Membership Levels:

Skybound may, from time to time, offer Rewards or other benefits that are exclusive to a specific Membership Level. Skybound reserves the right to modify, substitute, or otherwise change the number of Membership Levels, the point thresholds for each Membership Level, and the benefits pertaining to a specific Membership Level from time to time, at its sole discretion. CHANCE BASED GIVEAWAYS AND PROMOTIONS
We may offer chance-based giveaways or other promotions to Skybound Insiders from time to time (each, a “Promotion”). There is no purchase necessary to enter or win in any Promotion. Each individual Promotion will be announced on the website, via our social channels and/or via email (“Promotion Posting”). A Promotion Posting will include who is eligible, how to enter, the entry deadline, the method of determining the winner (e.g., random drawing), the odds of winning, and the prize(s)/value(s). All information contained in a Promotion Posting is incorporated herein by reference. Our employees (and their immediate families (parent, child, spouse or sibling and their respective spouses, regardless of where they reside) and those living in their same households, whether or not related), as well as those of our parent, affiliates, subsidiaries, and advertising and promotion agencies are not eligible for any Promotion. Promotions are subject to all applicable provincial, territorial, federal, state and local laws and void where prohibited. All entries must be received by the date and time stated in the Promotion Posting to be eligible. Limit one (1) entry per person in any Promotion, unless otherwise specified. Entries generated by script, macro or other automated means or by any means which subvert the entry process are void. Winner(s) for a Promotion will be selected from all eligible entries received for that Promotion. Odds of winning depend on the number of eligible entries received. Non-winning entries from one Promotion will not be included in any other Promotion. Winners must be Skybound Insiders at time of prize award. Failure to respond to any winner notification within five (5) days of such notification being sent or noncompliance with these terms will result in disqualification and the prize will be forfeited. Only three (3) alternate winners will be selected for any prize; after which, it shall remain unawarded. The prize(s) and their approximate retail value(s) will be set forth in the Promotion Posting. Canadian winners must correctly answer a time-limited mathematical skill-testing question without any aid. We reserve our right to require selected winners to sign a declaration of compliance and release of liability form. We reserve the right at our sole discretion to suspend, modify or terminate a Promotion at any time and for any reason, including, but not limited to, should any portion of the Promotion be, in our sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in our sole opinion, corrupt or impair the administration, security, fairness or proper play, or submission of entries, and, if terminated, at our discretion, select the potential winner(s) for the Promotion at issue from all eligible, non-suspect entries received prior to action taken or as otherwise deemed fair and appropriate by us. No Promotion is sponsored, endorsed or administered by any social platform and all social platforms are released from any liability associated with participation in and/or the acceptance of any prize in any Promotion.
By entering the Promotion, each entrant acknowledges that in the event of winning a major prize their surname and county of residence may be disclosed to persons enquiring, where permitted by law. Any entrant may object to their information being made available in this way, or may request that the amount of information made available be reduced, by contacting Skybound using the contact details at the end of this Section. In these circumstances, the entrant acknowledges that Skybound may nevertheless disclose the relevant information and the entrant’s entry to the Advertising Standards Authority (and/or any other competent authority) if required to do so. By way of example, this may happen where Skybound is required to demonstrate that it has awarded any advertised prizes. To request disclosure of winner details, enquirers must submit a request to firstname.lastname@example.org within one (1) month following the end of the closing date for entry. Details will only be disclosed (if permitted by law) after all prizes have been awarded.
In addition to the calendar year leaderboard challenge for which there may be supplemental rules (incorporated herein by reference), we may offer leaderboard challenges to Skybound Insiders from time to time (each, a “Challenge”). There is no purchase necessary to enter or win in any Challenge. Each individual Challenge will be announced on the website, via our social channels and/or via email (“Challenge Posting”). A Challenge Posting will include who is eligible, how to enter, the entry deadline, the method of determining the winner (e.g., top 5 Insiders on the leaderboard), and the prize(s)/value(s). All information contained in a Challenge Posting is incorporated herein by reference. Note: Rewards Point totals displayed on the leaderboard may not be accurate or in real-time. We reserve the right to alter the Rewards Point totals displayed due to technical issues or if there has been unsportsmanlike or other behavior prohibited by these rules. A participant is not a winner even if the leaderboard should so indicate unless and until we have verified the participant and their Rewards Point total and officially announced such as a winner. In the event of a tie, the Insider from among those tied who completed the highest number of individual activities, as determined by Skybound, in its sole discretion, will be deemed the potential winner. Our employees (and their immediate families (parent, child, spouse or sibling and their respective spouses, regardless of where they reside) and those living in their same households, whether or not related), as well as those of our parent, affiliates, subsidiaries, and advertising and promotion agencies are not eligible for any Challenge. Challenges are subject to all applicable federal, state and local laws and void where prohibited. All actions must be received by the date and time stated in the Challenge Posting to be eligible to earn Rewards Points in that Challenge. Rewards Points or actions generated by script, macro or other automated means or by any means which subvert the entry process are void. Winners must be Skybound Insiders at time of prize award. Failure to respond to any winner notification within five (5) days of such notification being sent or noncompliance with these terms will result in disqualification and the prize will be forfeited. Only three (3) alternate winners will be selected for any prize; after which, it shall remain unawarded. The prize(s) and their approximate retail value(s) will be set forth in the Challenge Posting. We reserve the right at our sole discretion to suspend, modify or terminate a Challenge at any time and for any reason, including, but not limited to, should any portion of the Challenge be, in our sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in our sole opinion, corrupt or impair the administration, security, fairness or proper play, or submission of entries, and, if terminated, at our discretion, select the potential winner(s) for the Challenge at issue using the non-suspect, eligible Rewards Points earned prior to action taken or as otherwise deemed fair and appropriate by us. We are not responsible for errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Challenge, including, without limitation, errors or difficulties which may occur in connection with the administration of the Challenge, the tabulation of Rewards Points, the announcement of the prizes, or in any Challenge-related materials. No Challenge is sponsored, endorsed or administered by any social platform and all social platforms are released from any liability associated with participation in and/or the acceptance of any prize in any Challenge.
PRIZES FOR PROMOTIONS AND CHALLENGES
If any Skybound Insider wins prizes in a single calendar year from us that exceed $599 in aggregate value, such Skybound Insider (excluding UK residents) must complete a W-9 form and will receive a 1099 for the total value of prizes won in that calendar year (if required by local law). Actual value of autographed merchandise may vary depending on market fluctuation. Prizes are awarded “as is” with no warranty or guarantee, either express or implied. Prizes may not be substituted, assigned or transferred or redeemed for cash, however we reserve the right, at our sole discretion, to substitute a prize (or portion thereof) with one of comparable or greater value. Winners are responsible for all applicable federal, state and local taxes, if any, as well as any other costs and expenses associated with prize acceptance and use not specified herein as being provided. All prize details are at our sole discretion. Limit one (1) prize per person per six (6) month period. Prizes will only be mailed within the UK, U.S. and Canada (excluding Quebec). Allow 6-8 weeks for delivery following winner verification.
By submitting content to us, participating in any promotion offered by Skybound and/or accepting a prize, you grant to Skybound and its licensees, successors and assigns an irrevocable, perpetual, unlimited, royalty-free, fully paid-up license to reproduce, distribute, display, exhibit, exploit, perform, edit, create derivatives of, and otherwise use the entry and all elements of such entry, together with any other material, and your name, user name, avatar, city and state of residence, voice, image and/or likeness (including, but not limited to, applicable profile photo), in any and all media now known or hereafter devised, in any manner, in whole or in part, worldwide, without compensation or notification to, or permission from, entrant or any third party, for any purpose whatsoever, including, without limitation, for purposes of advertising or trade.
REWARDS POINTS DEDUCTIONS
The following actions will decrease and/or cause you to lose your Rewards Points balances:
- Disconnecting your social media account (e.g., Facebook, Twitter, Instagram and/or account) from your Program account page.
- Failing to log into Skybound Insiders within a 365-day period.
- Gaining Rewards Points by violating the terms and conditions of the Program.
Please note that if the number of Rewards Points deducted from your Program account exceeds your then-current Rewards Points balance, your Rewards Points balance may fall into a negative state.
In the event that, within a Season, you lose Fan Level Points after reaching a Membership Level, you will remain at that Membership Level until you earn the requisite points to reach the next Membership Level, including earning back any Rewards Points lost.
THIRD PARTY PROMOTIONS
Information about any dealings, promotions or other transactions by and between Skybound Insiders, third-party advertisers and/or other third-party vendors (collectively, “Program Affiliates”) via the Program, or their participation in related promotions, including the delivery of and payments for goods and services, and any other terms, conditions, warranties, or representations associated with such dealings, are solely between the Skybound Insider and Program Affiliate. Skybound is not responsible or liable to any Skybound Insiders for any part of any such Program Affiliate transactions.
THIRD PARTY SITES
The Program may link to other websites, services and/or applications on the Internet. These other services are not under Skybound’s control, and you acknowledge and agree that we are not responsible for the accuracy, legality, appropriateness or any other aspect of the content or function of such third-party services. The inclusion of any such link does not by itself imply endorsement of the website by Skybound or any association with its operators. Additional or different terms and conditions and privacy/data use policies/statements may apply when you access and use such other websites.
SKYBOUND INSIDER RULES AND CONDUCT
As a condition of use, you hereby promise that you will not use the Program for any purpose that is unlawful, commercial in nature (such as, for example, raising money for anyone, advertising or promoting any product, service, pyramid scheme or other venture) or that is prohibited by these Insider Rewards Terms or any other agreement, or any other purpose not reasonably intended by Skybound. You agree to abide by all applicable local, state, national and international laws, regulations and rules. Without limiting the foregoing, you will not use the Program for the purpose of money laundering, bid rigging, price fixing or other unlawful collusion, price signaling or exchange of competitively sensitive data or information.
In addition, you agree not to take any action in connection with the Program that:
- is unlawful, deceptive, misleading, fraudulent, threatening, abusive, harassing, libelous, invasive of another’s privacy, tortious, obscene, profane or which otherwise violates the Insider Rewards Terms, Skybound.com Terms and Conditions or any other agreement;
- infringes any patent, trademark, trade secret, copyright, right of publicity, privacy right or other right of any person or organization;
- reveals any personal information about another individual, including another person’s name, address, phone number, electronic mail address, credit card information or any other information that could be used to track, contact or impersonate that person;
- constitutes unauthorized or unsolicited advertising, junk or bulk e-mail (“spamming”), chain letters or any form of lottery or gambling;
- imposes an unreasonable or disproportionately large load on Skybound’s computing, storage or communications infrastructure, or attempts to gain unauthorized access to the Program, other accounts, computer systems or networks connected to the Program, through password mining or otherwise;
- contains software viruses or any other computer codes, files, or programs that are designed or intended to disrupt, damage, limit or interfere with the proper function of any software, hardware or network system or to damage or obtain unauthorized access to any system, data or other information of Skybound or any third party;
- creates Skybound Insider accounts by any automated means or under false or misleading pretenses;
- harvests, scrapes or collects any information from the Program;
- disguises the source of content posted; or
- impersonates any person or entity, including any employee or representative of Skybound or any Program Affiliate.
USER-REQUIRED DISCLOSURES FOR SHARING SKYBOUND CONTENT ON SOCIAL MEDIA IN EXCHANGE FOR REWARDS POINTS
In connection with certain qualifying activities, from time to time, Users will receive access to Skybound content that is made available by us through the Program (“Official Content”), and, depending on your selected settings, will include a request for permission to post that Official Content on User’s behalf at various third party social sharing sites, such as facebook.com, x.com, or other sites or services we make available from time to time during the Program (the “Approved Sites”), which Approved Site accounts are registered by User with the Program (“Site Accounts”) or will provide User with the option to disapprove Official Content if they have selected the “auto post” content option. Each User who submits or shares Official Content on an Approved Site in connection with this Program is required by these Insider Rewards Terms and by law to disclose anything of value that is received by the User from Skybound as encouragement for the User’s sharing of such Official Content.
You acknowledge and agree that if any such disclosures are included by Skybound within any messaging that you share from the Program, you will not edit, alter or otherwise remove these disclosures from the message. You acknowledge that any failure to abide by the requirements set forth in the previous sentence may result in the termination of your program account and forfeiture of all your Rewards Points. Additionally, if you choose to share Official Content or otherwise disclose your participation in the Program on your own or if the share functionality does not auto-generate the required disclosures, you agree to include the following statements as part of any message that mentions or otherwise references the Program, the User Content, the Official Content, or Skybound: (i) solely, for posts on the X platform, you agree to include the hashtags “#SkyboundInsiderRewards” and “#sponsored”; and (ii) in any other message posted on any other social media platform, site or blog, you agree to include the following statement directly below the message: “In exchange for sharing content about Skybound, I may earn Points or entries into promotions as part of Skybound Insider Rewards.” Users agree and represent and warrant to the following statements:
- I will not post any information or content or conduct any activity that may violate, or which encourages the violation of, applicable local, state or federal laws or regulations and will promptly remove any such content upon request by Skybound.
- I will not post any information or content that may infringe any intellectual property or other right of any third party and will promptly remove any such third party content upon request by Skybound.

YOU WILL STRICTLY COMPLY WITH ALL APPLICABLE APPROVED SITE TERMS OF SERVICE, MEMBERSHIP AGREEMENTS, PRIVACY POLICIES, AND OTHER SIMILAR APPLICABLE GOVERNING DOCUMENTS OF ANY THIRD-PARTY SITES, SERVICES OR VENUES THAT I USE IN PERFORMING PROGRAM ACTIVITIES, INCLUDING, WITHOUT LIMITATION, X’S TERMS OF SERVICE AND FACEBOOK’S STATEMENT OF RIGHTS AND RESPONSIBILITIES.
LOSS OF REWARDS POINTS AND REWARDS; TERMINATION OF YOUR PARTICIPATION IN THE PROGRAM
You are responsible for regularly checking your Program account and ensuring the accuracy of your Rewards Points totals and must notify Skybound via help.skybound.com of your good faith belief of any omission, incorrect entry or other discrepancy within thirty (30) days of its occurrence. Rewards Points subsequently determined, in the sole discretion of Skybound, to be invalid, will be removed from a Skybound Insider’s Rewards Point accumulation total.
Skybound may revoke your ability to participate in the Program due to: (i) your failure to follow the Insider Rewards Terms, the Skybound.com-Terms and Conditions and any other terms and conditions applicable to the Program; (ii) the attempted or actual sale of any of your Rewards Points, Rewards, or your Program account; (iii) any misrepresentation by you; (iv) any suspected illegal or fraudulent activity; (v) any violation of the Skybound Insider Rules and Conduct set forth above; and/or (vi) any other conduct deemed by Skybound, in its sole discretion, to be an abuse of the Program, to be detrimental to the interests of Skybound, its parents, subsidiaries, affiliates, licensees, suppliers, or its customers, or to be otherwise improper. If your ability to participate in the Program is revoked, any unused Rewards Points or Rewards will automatically expire and be forfeited and your future participation in the Program shall be prohibited, to the extent permitted by law. Nothing in these Insider Rewards Terms will be considered a waiver by Skybound of any of its rights to take administrative or legal actions.
Skybound is not responsible for Rewards Points or Rewards that expire or are lost or redeemed due to illegal, fraudulent or unauthorized activity.
Terminating Your Program Participation. If at any time you no longer wish to participate in the Program, you may close your Program account on Skybound.com. Note that terminating your Program account will not affect your non-Program-specific Skybound.com Account or access to any other entitlements (e.g., digital comics, Skybound Unlimited) that may be associated with that account and that are not specifically related to this Program.
Please note that, because having a Skybound.com Account is a requirement in order to participate in the Program, termination of your Skybound.com Account (either by you or by Skybound) will result in the automatic termination of your participation in the Program. Termination of your Skybound.com Account (either by you or by Skybound) will therefore also result in the forfeiture of any Rewards Points and Rewards associated with your Program account at that time. If you later elect to reenroll in the Program, you will have access to the Rewards Points and/or Rewards previously associated with your Program account, provided that you: (i) reenroll using the same email address previously associated with your Program account; and (ii) in the case of Rewards Points, reenroll before your Rewards Points expire (as set forth in the “Expiration of Season Rewards Points” section). If you do not reenroll in accordance with the foregoing (i) or (ii), your beginning balance of redeemable Rewards Points will be zero and you may not have access to certain Rewards previously associated with your Program account.
MODIFICATION, SUSPENSION OR TERMINATION OF PROGRAM
Subject to our obligations under the “Changes to Insider Rewards Terms” section, we reserve the right, in our sole discretion and at any time to modify, suspend or terminate any or all aspects of the Program, including, without limitation: (i) the ability to earn Rewards Points and the number of Rewards Points earned through Qualifying Activities or promotions, (ii) offer additional or new Qualifying Activities for a limited time or permanently, (iii) limit the number of times or frequency a Skybound Insider may earn Rewards Points for engaging in a Qualifying Activity or engaging in the activity during a specific time period, (iv) offer Rewards Points earning opportunities to select groups of Skybound Insiders, (v) redemption and conversion requirements, (vi) Reward values and amounts, and (vii) the mechanism(s) for earning or receiving Rewards.
Any Rewards Points remaining in your Program account thirty (30) days after the Program stops operating will be forfeited without compensation. Except as expressly set out in these Insider Rewards Terms, Skybound makes no guarantee or representation as to the length of time during which the Program will be offered, and the Program could end at any time. After such thirty (30) day period, all Rewards Points will expire and the Program will no longer be available, and no further liability will be owed by us to any Skybound Insider.
All questions or disputes regarding eligibility for the Program, collecting or redemption of Rewards Points or Rewards, or your compliance with the Insider Rewards Terms will be resolved by Skybound, in its sole and absolute discretion. Rewards Points will not be refunded or placed back in a Skybound Insider’s quantity of Rewards Points for any reason.
If any provision or provisions of these Insider Rewards Terms is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be in any way affected thereby. Except as described herein, you may not assign these Insider Rewards Terms without our explicit consent. If we fail to exercise any right or remedy under these Insider Rewards Terms, our failure does not constitute a waiver of that right or remedy. Any waiver by us must be in writing and signed by us. Except as expressly stated herein, a person who is not a party to these Insider Rewards Terms has no rights to enforce any terms of these Insider Rewards Terms.

Information about your Program account activity can be accessed online here when logged in with your login credentials. Information includes, but is not limited to, your Rewards Points, Rewards and expiration dates. Fraud or abuse relating to the account registration process, providing of personal information, or earning or redemption of Rewards Points is a violation of these Insider Rewards Terms. You are solely responsible for any fraudulent use that may occur due to the theft of or sharing of your Program account password or your device. You agree to immediately notify us of any unauthorized use of your account or any other breach of security known to you. The Program is a service provided to an individual participant, not a company or other entity, and a company or other entity may not direct, encourage or allow individuals to participate in the Program for anything other than individual use. Skybound reserves the right to take any of the actions set forth in these Insider Program Terms if you engage in fraudulent activity or otherwise use this Program other than in accordance with these Terms and applicable law. ANY ATTEMPT BY YOU OR ANY OTHER INDIVIDUAL OR ENTITY TO DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROGRAM IS A VIOLATION OF THESE TERMS. SKYBOUND RESERVES THE RIGHT TO INVESTIGATE ANY SUSPICIOUS ACTIVITY AND TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW AND THIS AGREEMENT.
In exchange for the right to participate in the Program, you agree to indemnify, defend (at our option), and hold us harmless from and against any and all damages, losses, liabilities, claims, costs, investigations, judgments, fines, penalties, settlements, interest, expenses, or demands, including, but not limited to, personal injury, death, or damage to or loss of property, that directly or indirectly arise from or are related to: (a) your use of the Program and your activities in connection with the Program; (b) your actual or alleged breach or anticipatory breach of these Terms (as updated from time to time); (c) your actual or alleged violation or anticipatory violation of any laws, rules, regulations, codes, statutes, ordinances, or orders of any governmental or quasi-governmental authorities in connection with your use of the Program or your activities in connection with the Services and/or the Program; (d) any misrepresentation made by you; and (e) our use of the information that you submit to us (all of the foregoing, “Claims and Losses”). You will cooperate as fully required by us in the defense of any Claim and Losses. Notwithstanding the foregoing, we retain the exclusive right to settle, compromise, and pay any and all Claims and Losses. We reserve the right to assume the exclusive defense and control of any Claims and Losses. You will not settle any Claims and Losses without, in each instance, the prior written consent of an officer of Skybound.
NOTICE OF FINANCIAL INCENTIVES
We sometimes offer exclusive price discounts, rewards, offers, deals, coupons, services, and other perks for (a) customers who enjoy our loyalty and rewards programs; (b) recipients of our mailing lists who were presented with a financial incentive to sign up; and (c) applicants or registrants who were presented with a financial incentive for their application or registration (collectively, “programs”). Through these program offerings, consumers may provide us with some personal information (e.g., name, postal address, email address, phone number, birthday, and other similar forms of personal information) when they join our programs. There is no obligation to join our programs and consumers may opt out. The details of each program are contained in the program offering. We offer these programs to, among other things, enhance our relationship with customers. The value to our business, in the aggregate, of customers’ personal information depends on specific facts, such as whether and to what extent they take advantage of any offerings. The value we place on the personal data that we collect in connection with these programs is calculated by determining the approximate additional spending per promotion participant, compared to individuals for whom we do not have email addresses, shopping history, and preferences, or other collected information.
